1.0 Background
Corporate governance is a cornerstone of effective, transparent, and accountable decision-making in organizations, fostering ethical conduct, risk management, stakeholder engagement, and sustainable growth. Gender mainstreaming is a key the process of integrating gender perspectives into policies, programs, and legislation, is critical for achieving equality and inclusive development.
In the EAC, strengthening corporate governance and embedding gender mainstreaming are for businesses is essential for promoting inclusive industrialization and empowering underrepresented groups, especially women and youth. This consultancy will develop a Corporate Governance and Gender Mainstreaming Code of Conduct, practical resources, and tools to enhance business adoption of these principles by businesses across the region.
2.0 Objectives
The consultancy aims to:
- Deliver webinar-based training on ESG corporate governance principles, frameworks, best practices, and gender mainstreaming.
- Create a comprehensive, user-friendly Code of Conduct/ manual on ESG corporate governance and gender mainstreaming with actionable tools, templates, and checklists.
- Develop an online self-assessment/ monitoring tool for businesses to annually track and benchmark their corporate governance and gender inclusiveness, with downloadable digital certificates reflecting their performance.
3.0 Scope of Work
The consulting firm will:
- Conduct a needs assessment and desk review of existing corporate governance and gender mainstreaming resources in the EAC region.
- Develop training curricula and session plans with interactive elements, exercises, and case studies.
- Facilitate virtual or in-person training sessions for stakeholders across EAC Partner States.
- Create a monitoring and evaluation (M&E) tool to track businesses progress in governance and gender mainstreaming.
- Design and online tool for businesses to self-assess ESG and gender practices, generate reports, and compare performance with peers.
- Draft and finalize a practical Code of Conduct/ manual consolidating training content, guidelines, policy templates, and monitoring checklists.
- Engage stakeholders to review and validate the manual and online tool.
4.0 Deliverables
The consulting firm will provide:
- Inception Report: Methodology, timeline, and consultation plan.
- Training Materials: Agenda, session outlines, facilitator’s guide, PowerPoint slides, and handouts.
- Training Sessions: Virtual or in-person trainings sessions.
- Training Evaluation Report: Summary of participant feedback.
- Code of Conduct/ Manual: Comprehensive Code of Conduct on ESG and gender mainstreaming.
- Online Monitoring Tool: Practical checklist for assessing compliance and progress
- Final Report: Key findings, recommendations, and training outcomes.
5.0 Duration
The consultancy will be up to 20 days.
6.0 Submission Criteria
Interested consulting firms must submit:
- Minimum Master’s degree in Gender Studies, Development Studies, Governance, Public Administration, Business Administration, or a related field
- At least 4 years of experience in capacity building and training on governance, gender equality, and Environmental and Social Governance (ESG)
- Expertise in ESG frameworks for both public and private sectors
- Strong digital skills and familiarity with online learning platforms, e-learning systems, or monitoring tools
- Prior experience working with regional or intergovernmental bodies in East Africa is an added advantage
- Company profile detailing core business areas, organizational structure, staffing capacity, years of operation, and technical competencies relevant to governance, ESG, and gender mainstreaming
- Brief profiles (CV summaries) of key experts highlighting academic qualifications, professional experience, expertise, and suitability for the assignment (minimum Master’s degree in a relevant field)
- Evidence of relevant experience in at least three (3) similar assignments, including governance, ESG, and capacity building or training programmes, with clear description of scope, duration, and outcomes
- Certificate of Registration/Incorporation
- Valid Business License
- Valid Tax Compliance/Clearance Certificate
- Any other valid legal and administrative documentation
- Proposed approach and methodology for delivering capacity building and training programmes on governance, gender equality, and ESG
- Work plan indicating clear sequencing of activities and alignment with assignment objectives and deliverables
7.0 Reporting and Coordination
The consulting firm will report to the EABC Executive Director and collaborate with the EABC-AfDB Project implementation Unit.
8.0 Ethical Considerations
The consulting firm must:
- Ensure confidentiality of sensitive information.
- Use inclusive, culturally sensitive language and content.
- Promote gender equality and non-discrimination.
- Adhere to EABC and AfDB policies on integrity, anti-fraud, and safeguarding.
